Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Aviral Gohil, a sole proprietor based in Jabalpur, Madhya Pradesh, India, trading as ExaRoutes ("ExaRoutes", "we", "us", "our"). By creating an account, using our website, dashboard, API, or QR redirect service, or scanning a QR code that we host, you agree to these Terms. If you do not agree, do not use ExaRoutes.

These Terms are read together with our Privacy Policy, Cookies Policy, Acceptable Use Policy, Refund Policy, and (if it applies to you) Data Processing Addendum.

1. The service

ExaRoutes provides tools for marketing and operations teams to generate, brand, route, and analyse QR codes and short links, plus related features such as lead-capture forms, brand kits, A/B campaigns, deep links, and webhooks. The exact features available to you depend on the plan you are on.

2. Eligibility and accounts

ExaRoutes is intended for adult business users. By creating an account or using the service, you confirm you are of legal age to enter into a binding contract in your jurisdiction. If you use ExaRoutes on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.

You are responsible for the security of your account, including for keeping your password confidential, enabling multi-factor authentication where available, and notifying us promptly at security@exaroutes.com if you suspect unauthorised access. We are not liable for losses caused by your failure to keep your credentials secure.

3. Plans, fees, taxes, and billing

Pricing for each plan is shown on our Pricing page. Paid subscriptions are billed in advance, monthly or annually, depending on the option you choose at checkout. All fees are exclusive of applicable taxes, which we (or our payment partner) will add at checkout based on your billing location.

Payments are processed by our payment partner Dodo Payments, who acts as Merchant of Record for ExaRoutes. Dodo collects payment from you, handles tax and invoicing, and remits the net amount to us. Your relationship with Dodo for payment processing is governed by Dodo's terms; their handling of your card data is described in our Privacy Policy.

Subscriptions renew automatically at the end of each billing period at the then-current price for your plan, until you cancel. We will tell you in advance if we change the price of your plan; you can cancel before the new price takes effect.

4. Free trial

We may offer a free trial of one or more paid plans. The trial duration and terms are shown when you start the trial. You can cancel during the trial without being charged. If you do not cancel, your subscription begins automatically at the end of the trial at the price displayed at signup. Only one trial per account is permitted; we reserve the right to refuse a trial if we suspect abuse (for example, repeated trial sign-ups by the same person).

5. Cancellation and refunds

You can cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of your current billing period; you keep access until then. We do not pro-rate the unused portion of a billing period except as described in our Refund Policy.

We offer a 14-day money-back window on monthly subscriptions, no questions asked. Annual subscriptions are refundable in full within the first 14 days; after that, cancellation stops further renewals but does not refund the remainder of the term. Full details are in the Refund Policy. Consumers in the EU and UK retain their statutory cooling-off rights where they apply.

6. Your content and licence to us

"Customer Content" means everything you upload, configure, or generate through ExaRoutes, including QR target URLs, deep-link rules, routing rules, brand kits, logo images, lead-capture forms, AI-generated landing page content, and custom domain settings.

You retain ownership of your Customer Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, display, and process Customer Content solely to provide the service to you and to comply with our legal obligations. This licence ends when you delete the content or your account, except for content that must remain in operational backups for the rolling 30-day backup window described in the Privacy Policy.

You are responsible for Customer Content. You confirm that you have the rights to use it, that it does not infringe anyone else's rights, and that it complies with our Acceptable Use Policy and applicable law. We do not pre-screen Customer Content but may remove it or suspend redirects if we receive a credible report that it violates these Terms or the law.

7. Acceptable use

You agree to use ExaRoutes only as permitted by our Acceptable Use Policy. The AUP prohibits, among other things, using QR redirects for phishing, malware distribution, illegal content, fraud, harassment, infringement of intellectual property, and high-volume unsolicited messaging. Breach of the AUP is grounds for immediate suspension or termination.

8. Customer responsibilities for end-user data

When someone scans a QR code you own, ExaRoutes collects scan data (IP address, user agent, approximate location, time, deduplication fingerprint) on your behalf. For that data, you are the controller and we are your processor. You are responsible for having a lawful basis for that processing and for telling end users about it where the law requires (for example, in your own privacy notice if you are in the EU, UK, or India). The Data Processing Addendum sets out our processor obligations and is incorporated into these Terms by reference for any customer to whom GDPR, UK GDPR, or India's DPDP Act applies.

If you connect Google Analytics 4, Meta Pixel, or any other third-party tracking to your QR codes, you are responsible for the legal basis to do so and for any consent banners or notices required on your destination pages.

9. Our intellectual property

ExaRoutes, the dashboard, the marketing site, our APIs, our documentation, and everything we have created to deliver the service (excluding Customer Content and any open-source components, which retain their own licences) are owned by us or our licensors. We grant you a limited, revocable, non-exclusive, non-transferable right to use the service for the duration of your subscription in accordance with these Terms. You may not copy, modify, reverse engineer, decompile, or create derivative works of the service, except to the extent that mandatory law gives you that right. You may not remove ExaRoutes branding or attribution unless your plan includes a white-label entitlement.

10. APIs, rate limits, and quotas

Each plan includes per-month API call limits, storage limits, and resource quotas (number of dynamic QR codes, custom domains, seats, and similar). The current limits for your plan are shown in the dashboard. We may rate-limit, throttle, or temporarily suspend access if you exceed your quota or if your usage threatens the stability of the service for other customers. For repeated or sustained over-use we will contact you about an upgrade.

11. Beta and experimental features

We may make features available marked as beta, preview, or experimental. These are provided as-is, may be changed or removed at any time, and may have a lower availability target than the rest of the service. We may collect additional telemetry on beta features for the purpose of improving them.

12. Suspension and termination

We may suspend or terminate your access to ExaRoutes if you (a) breach these Terms or the AUP and do not cure the breach within a reasonable time after notice, or (b) fail to pay fees when due and do not cure within 14 days, or (c) engage in conduct that we reasonably believe poses a security, fraud, or legal risk to us or to other users. Where we can, we will give you notice and a chance to fix the issue first; for serious or urgent matters (for example, phishing reports or active malware) we may suspend immediately and explain afterwards.

You can terminate at any time by deleting your account from Profile settings. On termination by either side: your subscription stops renewing, your data is deleted as described in the Privacy Policy, and your dynamic QR codes will resolve to a branded "expired" page so end users who scan them are not silently dropped.

13. Service availability

We aim for high availability but do not currently offer a contractual uptime SLA. Planned maintenance is announced where reasonably practicable on our status page. Enterprise customers may negotiate an SLA as part of their order form.

14. Disclaimers

Except as expressly stated in these Terms and to the maximum extent permitted by law, ExaRoutes is provided "as is" and "as available". We disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from a course of dealing or usage of trade. We do not warrant that the service will be uninterrupted, error-free, secure against every threat, or that defects will be corrected immediately.

You are solely responsible for the destinations your QR codes resolve to. We do not endorse and are not responsible for the content, security, or legality of third-party websites that your QR codes redirect to.

15. Limitation of liability

To the maximum extent permitted by law, neither party will be liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility.

Our total aggregate liability arising out of or relating to these Terms or the service, regardless of the form of action, is capped at the greater of (a) the fees you paid us in the 12 months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (USD 100). Nothing in these Terms excludes or limits liability for matters that cannot lawfully be excluded or limited, such as fraud, gross negligence, or death or personal injury caused by negligence.

If you are a consumer covered by the Indian Consumer Protection Act 2019 or equivalent consumer protection laws in your jurisdiction, your statutory rights are not affected by this cap to the extent the cap would be unenforceable under those laws.

16. Indemnification

You agree to defend, indemnify, and hold harmless ExaRoutes (and its proprietor) from third-party claims, losses, and reasonable expenses (including reasonable legal fees) arising out of (a) your Customer Content, (b) your use of the service in breach of these Terms, the AUP, or applicable law, or (c) your failure to comply with your data protection obligations to end users in respect of scan data.

17. Changes to the service and to these Terms

We may change the service from time to time as it evolves. If we materially reduce a feature you currently rely on, we will give you reasonable notice and (where the change is material and adverse) allow you to cancel and receive a pro-rated refund of any pre-paid unused fees.

We may update these Terms by posting an updated version with a new "Last updated" date. For material changes we will give you reasonable advance notice (typically by email and an in-app banner). Continued use after the effective date of the change means you accept the updated Terms; if you do not accept them, your sole remedy is to stop using the service and cancel.

18. Governing law and disputes

These Terms are governed by the laws of India, without regard to its conflict of law rules. Subject to the consumer protection rights you may have in your home jurisdiction, the courts of Jabalpur, Madhya Pradesh, India have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service.

19. General

Notices from us to you may be given by email to the address on your account or by a banner in the dashboard. Notices from you to us should be sent to legal@exaroutes.com.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to a successor in connection with a sale, merger, or reorganisation of the ExaRoutes business; we will notify you of any such assignment.

Severability. If any provision is held unenforceable, the rest of these Terms remains in effect.

Force majeure. Neither party is liable for failure or delay in performance caused by events beyond reasonable control (natural disasters, war, internet or hosting outages, governmental action).

Entire agreement. These Terms together with the documents they reference are the entire agreement between you and us about the service. They supersede prior or contemporaneous agreements on the same subject.
